Brian Boonstra has a wide-range of experience representing public and private companies in securities offerings, corporate financings and mergers and acquisitions. His practice also includes counseling clients on securities disclosure and compliance issues, compensation and corporate governance matters. He has experience across various industries, having recently completed transactions in the natural resources, manufacturing, education, financial services and restaurant industries. He has particular experience in the natural resource industry, representing several mining or oil and gas companies of various sizes.
Mr. Boonstra has significant experience representing clients in cross-border transactions. He regularly counsels domestic clients who are listed on non-U.S. securities exchanges and serves as U.S. counsel with respect to securities offerings and other transactions occurring outside of the U.S.
Representative transactions:
Mr. Boonstra has an undergraduate degree in accounting, which enables him to better understand the complex financial and accounting issues facing his clients. He graduated from the University of Colorado School of Law and earned the Order of the Coif, an honor accorded to graduates ranking in the top 10% of the class. Following graduation, Mr. Boonstra served as a law clerk to Justice Nancy Rice of the Colorado Supreme Court.
