DGS Names Six New Partners

Davis Graham & Stubbs LLP is pleased to announce that Andrea M. Bronson, Nathan J. Goergen, Jonathan M. Goldstein, Almira Moronne, Alena Prokop, and Daniel A. Richards will become partners of the firm on January 1, 2023. Consistent with the firm’s commitment to organic and lateral growth, this partner class is the largest in its history.

Andrea M. Bronson specializes in water, natural resources, and environmental law and litigation. She has represented government entities, corporations, individuals, and other water users in water court and transactions, including water rights due diligence in property acquisitions. Her practice also encompasses environmental litigation, permitting and regulatory compliance, and site cleanup. Ms. Bronson was named among Best Lawyers’ Ones to Watch in the areas of Natural Resources Law (2021–2023) and Eminent Domain and Condemnation Law (2022–2023). She is a participant in the 2023 Colorado General Counsel Mentorship Program and currently serves on the board of directors for the Colorado Women’s Bar Association as well as on the advisory board of the University of Denver Sturm College of Law Professional Mentoring Program. Ms. Bronson received her J.D. from the University of Denver Sturm College of Law and her B.A. from Colby College. During law school, she was the managing editor of the Denver Journal of International Law and Policy. Ms. Bronson is admitted to practice in Colorado and the Tenth Circuit Court of Appeals.

Nathan J. Goergen focuses his practice on mergers and acquisitions and joint ventures in a broad range of industries, including private equity, hospitality, mining, energy, real estate, and manufacturing. He also advises private equity and venture capital firms on equity financing transactions, and private equity portfolio and venture-backed companies on general corporate matters, fiduciary duties, and commercial contracts. Mr. Goergen was named among Best Lawyers’ Ones to Watch in the area of Corporate Law (2022–2023). Outside his practice, he serves on the board of advisors for A Precious Child, a nonprofit that helps children in need reach their full potential through resources and opportunities. Mr. Goergen received his J.D. from the University of Colorado Law School, where he was elected to the Order of the Coif and served as the associate editor of University of Colorado Law Review. He received his B.A. in Finance, graduating magna cum laude from Valparaiso University. Mr. Goergen is admitted to practice in Colorado.

Jonathan M. Goldstein specializes in real estate law and represents clients in acquisitions, dispositions, construction and development, financing, and leasing of real property interests nationwide in a range of industries, including hospitality, technology, and energy. He also advises private companies in mergers and acquisitions, joint ventures, debt and equity financings, and commercial contracts. He was named among the Ones to Watch in Real Estate Law (2022–2023) by Best Lawyers and a Rising Star (2022–2023) by Colorado Super Lawyers. Outside his practice, Mr. Goldstein serves on the Colorado Lawyers Committee Young Lawyers Division Board as co-chair of the Strategic Planning Committee. He participated in Impact Denver and the Downtown Denver Partnership’s 2018 Leadership Program. Mr. Goldstein received his J.D. from the University of Denver Sturm College of Law where he was elected to the Order of the Coif and the Order of St. Ives, his Master of Science from the London School of Economics and Political Science, and his B.A., cum laude, from Colorado College. Before joining DGS, he was a U.S. Peace Corps Volunteer in Peru. Mr. Goldstein is admitted to practice law in Colorado.

Almira Moronne specializes in M&A and financing transactions for companies involved in natural resources, specialty metals, and advanced manufacturing. She represents junior, mid-level, and major mining companies at all stages of project development, as well as the investors and lenders that finance mining projects and the strategic minerals supply chain. She also works with clients in cross-border transactions and joint ventures, with particular expertise in navigating the national security screening process under the Committee on Foreign Investment in the United States (CFIUS). Ms. Moronne serves on numerous boards and committees, including the Financial Advisory Committee of The Foundation for Natural Resources and Energy Law. She is currently co-chair of the DGS Women’s Network and is a past co-chair of the American Bar Association Mining Committee. She has received multiple awards from the American Bar Association for her work in developing the ABA Mining Committee. Ms. Moronne received her J.D., with honors, from Duke University and her B.A., with honors, from the University of California, Berkeley. Prior to joining DGS, she worked as a foreign legal advisor at a prominent law firm in Jakarta, Indonesia. Ms. Moronne is admitted to practice in Colorado and New York.

Alena Prokop focuses her practice on the design, administration, and tax attributes of all types of executive compensation arrangements and equity compensation plans, as well as on the executive compensation issues arising out of mergers, acquisitions, and public offerings. She also assists clients with private asset fund formations and has been named among Best Lawyers’ Ones to Watch in the area of Mergers & Acquisitions Law (2022–2023). Ms. Prokop is a member of the 2021 General Counsel Mentor Program and the Women of M&A Network. She is a graduate of the 2019 Leadership 20 class, a leadership development program for emerging leaders within ACG Denver’s professional business community. Ms. Prokop received her J.D.-equivalent degree from the Charles University School of Law in Prague, Czech Republic. She earned her LL.M. in Corporate Law from New York University School of Law. Ms. Prokop is admitted to practice in Colorado and New York.

Daniel A. Richards specializes in complex civil litigation and represents domestic and international corporations in complex and consequential civil lawsuits and arbitrations. He has particularly deep experience representing clients in the financial services, health-care, technology, construction/real estate, and energy industries. Outside his practice, Mr. Richards is actively involved in the Denver Bar Association’s Access to Justice Committee. He is a graduate of the Denver Metro Chamber of Commerce’s Impact Denver program and the Downtown Denver Partnership’s Leadership Program. He also served as a law clerk for the Honorable Denny Chin on the U.S. Court of Appeals for the Second Circuit. Mr. Richards received his J.D. from Fordham University School of Law, where he was the managing editor of the Fordham Law Review. He also holds a B.S. in Finance from Miami University. Mr. Richards is admitted to practice in Colorado and New York.
