Rob McCary

Associate

Rob McCary is an associate at Davis Graham & Stubbs LLP. His practice focuses on corporate and transactional law, including mergers and acquisitions, equity and debt financings, securities law disclosure and compliance, capital markets transactions, corporate governance, and other general corporate matters.

Rob represents U.S. and international clients from a wide variety of industries, including but not limited to private equity, building materials, oil and gas, manufacturing and distribution, outdoor recreation and equipment, waste management, professional services, and water assets and utilities. His transactional experience includes deals ranging in size from ~$1 million to multiple billions of dollars.

Rob received his J.D. from the University of Colorado Law School, where he served as managing editor of the Colorado Law Review. Prior to joining DGS, Rob interned with Judge John L. Kane at the U.S. District Court of Colorado and with the in-house legal team at Level 3 Communications.

Before pursuing a career as an attorney, Rob served as Backcountry Program Director at The TVRC Education Foundation, a nonprofit summer camp in Jackson, Wyoming. He graduated from Colgate University with honors in philosophy and a minor in economics.

Rob is a member of the Fall 2022 class of Impact Denver, a foundation leadership program that strives to educate and inspire people who want to make a difference as community leaders. He also serves on the Safety Committee of the Colorado Outward Bound School, a nonprofit organization that delivers challenging outdoor adventure programs for people of all ages and walks of life. Mr. McCary currently serves on the firm’s associate committee.

Mergers and Acquisitions

  • Represented Kodiak Building Partners, a leading building materials distribution company, in over fifteen transactions involving the acquisition of other building materials companies.
  • Represented Bow River Capital in its acquisition of Ocean Tomo, a management consulting and advisory services firm for intangible assets, corporate accounting investigations, regulatory and reporting obligations, solvency and restructuring, and contractual or competition disputes.
  • Represented Heli Adventures Inc. in its acquisition of Silverton Mountain ski area.
  • Represented the sellers of Majestic Metals, LLC, a family-owned and operated provider of precision sheet metal fabrication services, to CORE Industrial Partners.
  • Represented the sellers of RCI Metalworks LLC, a leading designer and manufacturer of vehicle accessories for off-roading enthusiasts, to a portfolio company of Cortec Group.

Public Companies & Capital Markets

  • Represented RE/MAX in its cross-border acquisition of the North American regions of the RE/MAX INTEGRA brokerages, which included the RE/MAX Ontario-Atlantic Canada Region, the RE/MAX New England Region, and the RE/MAX Midwest Region.
  • Represented a Denver-based public oil and gas company in its multi-billion dollar merger with another public oil and gas company.
  • Represented a liquified natural gas company in multiple offerings of common stock, senior notes, convertible notes, and warrants.
  • Represent multiple public companies in ongoing securities law and disclosure matters.
